DATAUNIVERSA, INC. — TERMS & CONDITIONS

These Terms & Conditions ("Terms") govern access to and use of any website, application, platform, service, system, interface, or related offering operated by DataUniversa, Inc. ("DataUniversa," "we," "us," or "our"), including associated technologies, tools, and services (collectively, the "Platforms").

By accessing or using the Platforms, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platforms.

1. Eligibility

The Platforms are intended solely for individuals who are at least eighteen (18) years of age.

By using the Platforms, you represent and warrant that you are at least 18 years old and legally capable of entering into binding agreements.

2. Accounts and Access

Certain features or services may require registration or account creation.

You are responsible for:

• maintaining the confidentiality of account credentials,
• restricting unauthorized access to your account,
• and all activity occurring under your account.

DataUniversa reserves the right to suspend, restrict, or terminate access to the Platforms at any time for violation of these Terms, security concerns, operational reasons, or other lawful business purposes.

3. Platform Use

You may use the Platforms only in compliance with applicable laws and these Terms.

You agree not to:

• misuse or interfere with the Platforms,
• attempt unauthorized access,
• introduce malicious code,
• infringe intellectual property rights,
• violate privacy rights,
• or use the Platforms for unlawful, fraudulent, or deceptive purposes.

We reserve the right to investigate and restrict activity that may compromise platform integrity, security, or lawful operation.

4. User Communications and Submissions

The Platforms may allow users to submit communications, inquiries, forms, files, or other materials ("Submissions").

Except where governed by separate written agreements:

• you retain ownership of your original Submissions,
• and DataUniversa receives only the limited rights reasonably necessary to operate, maintain, respond to, secure, and improve the Platforms and related services.

Submission of information through contact forms, demo requests, business communications, or general website interactions does not grant DataUniversa ownership of your information.

5. Separate Data Contribution or Licensing Agreements

Certain DataUniversa services, ingestion systems, research initiatives, interoperability programs, structured collection environments, or dataset contribution activities may be governed by separate:

• contributor agreements,
• licensing agreements,
• data processing agreements,
• research participation agreements,
• or commercial contracts.

Where applicable, those separate agreements will govern:

In the event of conflict between these Terms and a separately executed written agreement, the separate agreement shall control.

6. Intellectual Property & Patent Notice

The Platforms, including all content, software, systems, architectures, methodologies, frameworks, workflows, interfaces, graphics, documentation, scoring systems, interoperability mechanisms, computational processes, and related materials are owned by or licensed to DataUniversa and are protected under applicable intellectual property laws.

DataUniversa, GMIP, ADVS, DatFlash, Decision Universa, and related technologies, systems, and methods may be protected by:

• patents,
• pending patent applications,
• trademarks,
• copyrights,
• trade secrets,
• and other intellectual property rights in the United States and internationally.

Nothing contained on the Platforms grants any license or right to use DataUniversa intellectual property without prior written consent.

7. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.

The Privacy Policy describes categories of information collected, operational usage, security practices, and applicable user rights.

8. Third-Party Services

The Platforms may contain integrations, references, or links to third-party services, websites, or providers.

DataUniversa does not control and is not responsible for third-party content, policies, availability, or practices.

Use of third-party services is at your own risk and subject to the terms of those providers.

9. Disclaimers

THE PLATFORMS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAUNIVERSA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY,
• FITNESS FOR A PARTICULAR PURPOSE,
• NON-INFRINGEMENT,
• ACCURACY,
• AVAILABILITY,
• OR RELIABILITY OF OUTPUTS OR SERVICES.

We do not guarantee uninterrupted access, error-free operation, or suitability for any specific use case.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATAUNIVERSA SHALL NOT BE LIABLE FOR ANY:

• INDIRECT,
• INCIDENTAL,
• CONSEQUENTIAL,
• EXEMPLARY,
• SPECIAL,
• OR PUNITIVE DAMAGES,

INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING FROM USE OF THE PLATFORMS.

11. Indemnification

You agree to defend, indemnify, and hold harmless DataUniversa and its affiliates, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses arising from:

• your use of the Platforms,
• violation of these Terms,
• infringement of intellectual property rights,
• or unlawful conduct.

12. Governing Law and Venue

These Terms are governed by the laws of the state of Tennessee, United States, without regard to conflict-of-law principles.

Exclusive jurisdiction and venue for disputes arising under these Terms shall lie in the state or federal courts located in Virginia, United States.

13. Modifications

DataUniversa may update or modify these Terms at any time.

Updated Terms become effective upon posting to the Platforms. Continued use of the Platforms after updates constitutes acceptance of the revised Terms.
